Terms of Service
True North NexTech LLC – AI Course Assistant
Effective Date: January 2026
These Terms of Service (“Terms”) govern your access to and use of the AI Course Assistant platform (the “Service”) operated by True North NexTech LLC (“True North NexTech,” “we,” “us,” or “our”).
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not access or use the Service.
1. The Service
The Service is a web-based platform designed to assist instructors and teaching staff with course-related academic and instructional workflows.
The Service provides capabilities including, but not limited to:
- Drafting course announcements;
- Drafting grading feedback and recommending grades;
- Drafting discussion responses;
- Providing course revamp recommendations based on a review of existing course materials.
These capabilities are powered by automated and artificial intelligence technologies, including integrations with third-party AI providers such as OpenAI.
The Service provides AI-assisted drafts and recommendations only. All final academic decisions, including grades, feedback, announcements, and published course content, remain the sole responsibility of the user.
2. Eligibility
You must:
- Be at least 18 years old, and
- Be authorized by your institution (if applicable) to access and use the Service and any connected learning management system.
You represent and warrant that your use of the Service complies with all applicable institutional policies and applicable laws.
3. Account Registration
To use the Service, you must create an account and provide accurate, current, and complete information.
As part of registration and use of the Service, you may be required to:
- Provide the URL of your institution’s Canvas learning management system; and
- Authorize access to Canvas through a personal access token or an OAuth-based authorization flow, as supported by Canvas.
You represent and warrant that you are authorized by your institution to generate and use such credentials and to grant the Service access to applicable course data solely for the purpose of providing the Service.
You are responsible for maintaining the confidentiality of your account credentials and any Canvas credentials you provide, and for all activity that occurs under your account.
We reserve the right to suspend or terminate accounts that contain inaccurate information or are used in violation of these Terms.
4. Integration with Third-Party Services (Canvas and Others)
The Service may integrate with third-party platforms, including learning management systems such as Canvas (“Third-Party Services”).
By connecting a Third-Party Service:
- You authorize us to access course data solely for the purpose of providing the Service.
- You acknowledge that your use of Third-Party Services is governed by their respective terms and policies.
- We are not responsible for the availability, security, or functionality of Third-Party Services.
Canvas and other third-party trademarks are the property of their respective owners and are used for identification purposes only.
5. AI-Assisted Outputs and Academic Responsibility
The Service uses automated and artificial intelligence technologies to generate draft content.
You acknowledge and agree that:
- AI-generated outputs may contain errors, omissions, or inaccuracies.
- AI-generated drafts do not replace professional judgment.
- You are solely responsible for reviewing, editing, approving, and publishing any content or grades.
- True North NexTech does not guarantee the accuracy, completeness, or appropriateness of AI-generated content.
6. User Content and Ownership
You retain ownership of:
- Course materials you upload,
- Feedback, grades, and content you create,
- Student submissions accessed through authorized integrations.
You grant True North NexTech a limited, non-exclusive, revocable license to process such content solely to provide the Service.
We do not claim ownership of student work or instructional materials.
7. Acceptable Use
You agree not to use the Service to:
- Violate applicable laws or institutional policies,
- Infringe intellectual property rights,
- Upload or process unlawful, harmful, or abusive content,
- Circumvent academic integrity processes,
- Attempt to reverse engineer or misuse the Service.
We reserve the right to suspend or terminate access for violations of this section.
8. Data Use and Privacy
Our collection and use of personal data are described in our Privacy Policy, which is incorporated by reference into these Terms.
You acknowledge that:
- The Service may process educational records at your direction,
- You are responsible for ensuring your use of the Service complies with FERPA and institutional requirements.
9. Audit Logs and Records
The Service may maintain logs of system actions, including AI-assisted drafts and user approvals, for operational, security, and accountability purposes.
Audit logs are provided for transparency and do not alter user responsibility for academic decisions.
10. Suspension and Termination
We may suspend or terminate your access to the Service at any time if:
- You violate these Terms,
- Your use poses a security or legal risk,
- Required by law or third-party service providers.
You may discontinue use of the Service at any time.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRUE NORTH NEXTECH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRUE NORTH NEXTECH SHALL NOT BE LIABLE FOR:
- INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES,
- LOSS OF DATA, PROFITS, OR REPUTATION,
- ACADEMIC OR INSTITUTIONAL DECISIONS MADE BY USERS.
OUR TOTAL LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU (IF ANY) FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify and hold harmless True North NexTech from claims arising out of:
- Your use of the Service,
- Your violation of these Terms,
- Your violation of institutional or legal obligations.
14. Modifications to the Service or Terms
We may modify the Service or these Terms from time to time. Material changes will be posted on the website. Continued use of the Service after changes constitutes acceptance of the revised Terms.
15. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict-of-law principles.
